These Terms & Conditions (“Terms”) govern your access to and use of the website located at https://flagnog.com and any related services offered by Flagnog LLC (“Flagnog,” “we,” “us,” or “our”). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

1. Nature of the Service
Flagnog operates an online marketplace platform that enables brands, rights holders, and other authorized users (“Users”) to discover each other, connect, and arrange potential placements or collaborations.

Flagnog is a platform provider only. We are not a party to any agreements, negotiations, or transactions between Users, and we do not represent or endorse any User, brand, or rights holder. Users are solely responsible for their own content, offers, negotiations, and final arrangements.

2. Eligibility
You may use the Site and Services only if you:

*  Are at least the age of majority in your jurisdiction.
*  Have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
*  Are not barred from using the Services under any applicable law.

By using the Site or Services, you represent and warrant that you meet these eligibility requirements.

3. User Accounts
To access certain features, you may be required to create an account and provide accurate, current, and complete information. You agree to maintain and promptly update your account information, keep your login credentials confidential, and be responsible for all activities that occur under your account.

We may suspend or terminate accounts that provide false information, violate these Terms, or pose a security or legal risk.

4. Marketplace Roles and Responsibilities
4.1 Brands and Rights Holders
Brands and rights holders are solely responsible for ensuring they have the necessary rights, licenses, and permissions for any content, marks, or properties they propose for placements. Users must comply with all applicable laws, advertising and endorsement rules, and industry standards in their placements and collaborations.

4.2 Platform Role and Limitations
Flagnog does not guarantee any specific outcomes, deals, or placements. Flagnog does not control or verify the accuracy, legality, or quality of any User content or offers and is not responsible for any disputes between Users. Users are solely responsible for negotiating and entering into their own agreements, including commercial terms, clearances, and usage rights.

5. User Conduct
You agree not to:
*  Use the Site or Services for any unlawful purpose or in violation of any law or regulation.
*  Infringe or misappropriate the intellectual property, publicity, privacy, or other rights of any person or entity.
*  Post or transmit any content that is deceptive, defamatory, obscene, hateful, or otherwise objectionable.
*  Attempt to gain unauthorized access to any accounts or systems, or interfere with the proper functioning or security of the Site.
*  Use automated tools (such as bots or scrapers) without our prior written consent.

We may, at our sole discretion, remove content, suspend access, or terminate accounts that violate these Terms or applicable law.

6. Intellectual Property
The Site, Services, and all associated content, including text, graphics, logos, and software, are owned by or licensed to Flagnog and are protected by copyright, trademark, and other laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your internal business purposes.

Users retain ownership of the content they submit or upload but grant Flagnog a non-exclusive, worldwide, royalty-free license to host, display, and use such content as necessary to provide and promote the Services.

You may not copy, modify, distribute, sell, or lease any part of the Site or Services, nor may you reverse engineer or attempt to extract the source code, except where allowed by law.

7. Fees and Payments
If we introduce paid features or fees for use of the marketplace, such terms will be disclosed to you at or before the point of purchase or subscription. You agree to pay all applicable fees and taxes associated with your use of any paid Services.

Unless otherwise stated, fees are non-refundable, except where required by applicable law or expressly provided in the relevant service terms.

8. Third-Party Services
The Site may integrate or link to third-party services, tools, or websites over which we have no control. Your use of third-party services is subject to their own terms and policies, and Flagnog is not responsible for any third-party content, products, or services.

9. Disclaimers
To the maximum extent permitted by law:
*  The Site and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.
*  We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
*  We do not warrant that the Site or Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any placements or engagements will be successful.

You use the Site and Services at your own risk.

10. Limitation of Liability
To the fullest extent permitted by law, in no event will Flagnog, its owners, members, employees, or agents be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Site or Services.

Our total aggregate liability for any claims arising out of or relating to the Site or Services will not exceed the greater of (a) the amounts you paid to us for the Services in the 12 months preceding the claim, or (b) 100 USD, to the extent permitted by law.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification
You agree to indemnify, defend, and hold harmless Flagnog and its affiliates, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, your content or offerings, your violation of these Terms, or your infringement or alleged infringement of any third-party right.

12. Termination
We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including if we reasonably believe that you have violated these Terms or applicable law.

Upon termination, your right to use the Site and Services will immediately cease. Any provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, and indemnification, will continue to apply.

13. International Use
The Site is operated from the United States but may be accessed internationally. You are responsible for complying with all local laws and regulations that apply to your use of the Site and Services in your jurisdiction.

If you are located in the EU/EEA, UK, or other regions with specific consumer or data protection laws, you may have additional mandatory rights that these Terms cannot override.

14. Governing Law and Dispute Resolution
These Terms and your use of the Site and Services are governed by the laws of the State of Texas, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Site or Services will be brought exclusively in the state or federal courts located in Collin or Dallas County, Texas, and you consent to the personal jurisdiction and venue of such courts, subject to any mandatory rights you may have under applicable law.

15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where required by law, provide additional notice (for example, via email or a prominent notice on the Site). Your continued use of the Site or Services after changes become effective constitutes your acceptance of the revised Terms.
